We had the pleasure of leading two practical workshops. The first was dedicated to the latest reforms in restructuring, covering mergers, demergers, and partial asset contributions, as well as a presentation on new developments in cross-border operations.
The second workshop, co-led with Me Kévin Lanuzel, focused on the legal and tax aspects of share transfers. On this occasion, we discussed the challenges of negotiating a share transfer, the key points to consider when drafting legal documents (letter of intent, transfer agreement, and asset and liability warranties), and the tax implications to anticipate in such a transaction.
